By initiating a project with Gedit Productions LLC, the Client agrees to be bound by the following Terms and Conditions (referred to as "Terms"). These Terms govern the working relationship between Gedit Productions LLC (referred to as "Contractor") and the Client.

1. SERVICES
The Contractor agrees to provide the professional video editing services as outlined in the mutually agreed-upon project proposal or package selection. All services are subject to the terms and features of the selected tier (e.g., Quick Edit, Standard Edit, etc.). The Contractor will work to accommodate the Client's reasonable requests, provided they do not conflict with these Terms.

2. DELIVERABLES
The Contractor agrees to provide the final deliverables as specified in the project proposal. Final deliverables will be provided in a standard, high-quality format, typically .MP4, and will be delivered via a secure digital link.

3. TERM OF CONTRACT
The term of the contract for each project will begin upon the Contractor's receipt of the Client's footage and will remain effective until the completion of the services, unless terminated earlier as provided in these Terms.

4. PAYMENT
The Client agrees to pay the Contractor the full amount as specified in the project proposal or selected package tier. All payments are to be made to Gedit Productions LLC via the agreed-upon method (e.g., PayPal Business, Check, or Cash).

5. RETURN OF PROPERTY
Upon completion or termination of the project, the Contractor will return all raw footage and original assets provided by the Client. The Contractor is not obligated to store or retain project files beyond thirty (30) days from project completion.

6. TAXES
The Contractor shall be solely responsible for all taxes and withholdings, including federal and state income taxes.

7. INSURANCE
The Contractor agrees to maintain all necessary insurance as required by law.

8. RELATIONSHIP BETWEEN PARTIES
Both Parties understand and agree that the Contractor is an independent service provider and is not an employee, agent, or servant of the Client. The Contractor is not entitled to any benefits from the Client.

9. TERMINATION
(a) The Contractor can terminate the project at any time by providing seven (7) days' written notice to the Client.
(b) The Client can terminate the project if the Contractor violates these Terms or fails to produce the desired result. In the event of termination, the Client shall make all payments for work performed up to the termination date.

10. CONFIDENTIALITY
The Contractor agrees not to disclose or use any confidential information obtained from the Client. This obligation will remain effective indefinitely.

11. INDEMNIFICATION
Each Party indemnifies and holds harmless the other Party against all claims, damages, losses, and injuries resulting from the acts or omissions of the other Party.

12. ARBITRATION
In the event of any dispute, it shall be resolved by arbitration in Moorestown, New Jersey. The decision of the arbitrator shall be final and binding on both Parties.

13. GOVERNING LAW
This agreement shall be governed by and construed in accordance with the laws of the State of NEW JERSEY.

​

14. SEVERABILITY
If any provision of these Terms is held unenforceable, the remaining provisions will continue to be valid and enforceable.

15. ASSIGNMENT
The Contractor shall not assign or transfer its obligations to a third party without the Client's prior written consent.

​

16. NOTICES
Any notice required under these Terms shall be sent via certified email to the addresses on file.

​

17. ENTIRE AGREEMENT
These Terms, in conjunction with the specific project proposal, constitute the entire agreement between the Parties.

18. WAIVER
The failure of either Party to enforce any provision of these Terms will not be construed as a waiver of that provision.

19. FORCE MAJEURE
Neither Party shall be liable for any delay or failure in performing their obligations due to circumstances beyond its control, including but not limited to acts of God, war, pandemics, or natural disasters.
